Who we are and when these terms apply
These Terms of Service are between Adam Dodson, a sole trader trading as Reach Software in Victoria, Australia, and the person or organisation using the hosted services covered by them. If accepting for an organisation, you must have authority to bind it.
These terms are accepted when you select the agreement checkbox during account registration, subscription purchase or when asked to accept an updated version. Service-specific order, subscription or project terms form part of the agreement when accepted and take precedence over conflicting general terms here. Bespoke website development and consulting deliverables require their own agreed project scope and terms; these general terms do not specify project deliverables, fees or ownership transfers.
Platform accounts and independent sub-apps
The Reach Software account platform provides sign-in, organisation membership, invitations, role-based access and shared subscription administration. The platform may make separately operated sub-applications available through the same account. Each sub-app has its own purpose, data, settings, permissions and feature limits; availability of one does not mean that another is included or available.
Subscriptions and entitlements are scoped to a particular organisation and sub-app, not automatically to every sub-app on an account. A plan for one sub-app does not purchase, grant access to, or increase the limits of another. App-specific terms or notices may supplement these terms for a particular sub-app. An addendum must identify its scope and cannot silently change another app's terms.
Current access is organisation-based: a person must join or create an organisation before accessing a sub-app or subscribing for that organisation. One account may be a member of more than one organisation, but access and data remain separate in each. Access to one organisation never authorises access to another.
Organisation roles and app permissions
Organisation owners and administrators manage membership and organisation-level subscriptions, subject to the controls presented in the platform. Owners may own one organisation and may be administrators in other organisations. You are responsible for inviting people who should have access and removing access when it is no longer appropriate.
Each sub-app can apply additional roles and resource-level permissions beneath the organisation role. For example, Ops Board uses app roles, Site assignments and board or field permissions to control access to its resources. An organisation role alone does not grant access to every app resource where that app requires an additional grant. App-specific permissions may be changed by authorised organisation administrators and take effect as described by the app.
Keep account credentials secure, provide accurate information and promptly report suspected unauthorised access. Do not share accounts to bypass membership, role or plan limits.
Permission to use the services
Subject to the applicable plan, order and these terms, Reach Software permits you and your authorised users to access the subscribed service for lawful personal or internal business use during the service period. This permission is limited, non-exclusive and non-transferable, except where applicable law or an express written agreement provides otherwise. It does not transfer ownership of the software or allow resale or sublicensing.
Accounts and organisation access
Provide accurate account information, keep credentials confidential and promptly report suspected unauthorised access. Only access accounts, organisations and data you are authorised to use. Organisation owners and administrators are responsible for assigning and reviewing their members' access. Do not share credentials to bypass user limits or access controls.
Acceptable use
You must not use the software to:
- Break applicable law or infringe another person's privacy, confidentiality or intellectual property rights.
- Upload malicious code, disrupt services, bypass security controls or access another organisation's data without authorisation.
- Misrepresent your identity or send unlawful, abusive or unsolicited content.
- Copy, resell, sublicense or reverse engineer the software except as permitted by law or a written agreement.
- Evade subscription limits or use automated access in a way that materially harms the service.
Your content, app data and privacy
You retain your rights in content and data you provide. You grant Reach Software the limited permissions needed to host, process, secure, back up and transmit it to provide, maintain and support the relevant service and meet legal obligations. You are responsible for having authority to submit it and for your users' use of it. Do not submit data you are not authorised to share.
Data is associated with the organisation and app in which it is supplied. Platform membership does not make one organisation's data available to another or grant unrelated sub-apps access to it. Where an app connects to a third-party service, the connection and data shared are limited to the permissions and purpose you authorise, subject to that provider's terms.
Personal information handling is described in the Privacy Policy. Keep independent copies of important business records; the service is not represented as your sole archive or backup. App-specific export, backup and retention details must be confirmed for the relevant service.
App-specific plans, trials, billing and cancellation
Before you subscribe, the applicable order or checkout identifies the sub-app and plan, price, currency, billing interval, included features or limits, any trial duration, and renewal and cancellation terms. These vary by app and plan; a feature or trial in one app is not included in another app unless expressly stated.
Subscriptions and trials are organisation-level and app-specific. An organisation may therefore have a different plan or subscription state for each sub-app. Only an authorised organisation administrator may start or manage a subscription where the platform allows it. Payment for paid plans is processed by the payment provider shown at checkout. Discounts, trials or plan changes apply only as expressly shown for that organisation and app.
Cancellation, renewal, billing dates, refunds and the effective date of a change are governed by the terms shown in the applicable checkout or billing portal and any order. Review those terms before confirming. Cancelling one app does not by itself cancel another app's subscription, delete the organisation or remove the account. Any automatic-renewal or cancellation requirement must be presented at purchase and comply with applicable law. Your non-excludable statutory refund and consumer rights are not affected.
When a trial expires, subscription is cancelled or a plan changes, access and feature limits may change for the affected app. App-specific behavior may preserve existing resources while restricting edits or new use; the applicable app notice must explain material consequences. The platform account and other app subscriptions are not automatically terminated by that change.
Third-party services and integrations
Optional integrations require your authorisation and may be subject to the connected provider's terms and privacy notices. You are responsible for selecting the account and permissions you connect. Provider availability, changes and restrictions can affect an integration. Reach Software does not acquire ownership of third-party services, and this agreement does not replace their terms or applicable open-source licences.
Intellectual property
Reach Software and its licensors retain their rights in the software, documentation and branding, apart from your content and rights expressly assigned in a separate written agreement. Do not remove proprietary notices or use branding in a way that implies an unauthorised endorsement.
Availability and changes
Software may be unavailable for maintenance, faults or circumstances outside our reasonable control. No specific uptime or support response time is promised unless separately agreed. We may maintain and improve the software; material changes affecting an agreed service will be handled under the applicable service terms and law. Check outputs before relying on them for important business decisions.
Suspension, ending access and data
Access may be restricted where reasonably necessary to address a security threat, unlawful use or material breach. Where practical and appropriate, we will explain the issue and provide an opportunity to resolve it. Termination, cancellation and any opportunity to retrieve data must follow the applicable order, app-specific terms and law. Export, retention and deletion options vary by service and must be described in the relevant app-specific information.
Consumer guarantees and liability
Nothing in this agreement excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law. Where those guarantees apply, you may be entitled to repair, replacement, refund or compensation as provided by law.
Except for obligations that cannot lawfully be excluded and any express written commitments, no additional warranty of uninterrupted, error-free operation or fitness for a particular purpose applies except as expressly agreed in writing. Nothing in these terms creates a monetary liability cap or requires you to indemnify Reach Software.
Governing law and disputes
These terms are governed by the laws of Victoria, Australia, together with applicable Commonwealth law. This does not remove mandatory rights or access to a court or tribunal provided by applicable law. Please first contact us to explain a dispute so we can try to resolve it. This does not prevent urgent relief or a complaint to a regulator.
Changes and contact
These terms are effective from publication. Material changes must be communicated with any notice or consent required by the agreed terms and law; changes are not retrospective. Changes specific to one sub-app must not silently change another sub-app's terms. Contact Adam Dodson trading as Reach Software using the email below about licensing or these terms.
